These Terms of Service (“Terms”) govern your use of the website plainvertdigital.com and the services provided by Plainvert Digital (“Plainvert,” “we,” “us,” or “our”), a web design, SEO, and GEO studio based in Laguna, Philippines. By accessing our website or engaging our services, you agree to these Terms.
1. Services
Plainvert provides web design and development, search engine optimization (SEO), generative engine optimization (GEO), and related digital services. The specific scope, deliverables, timeline, and fees for any project are defined in a separate written proposal, quotation, or statement of work agreed with the client. Where those documents conflict with these Terms, the signed proposal prevails for that engagement.
2. Quotations and engagement
Proposals and quotations are valid for the period stated within them. A project is considered engaged once the client confirms acceptance in writing and pays any required initial fee. Estimates are based on the information available at the time and may be revised if project requirements change.
3. Client responsibilities
- Provide accurate information, content, brand assets, and timely feedback or approvals;
- Ensure you have the rights to any materials (text, images, logos) you provide to us;
- Grant reasonable access to accounts or systems needed to deliver the work;
- Respond within agreed timeframes so the project can stay on schedule.
Delays caused by late content, feedback, or approvals may affect timelines and costs.
4. Fees and payment
Fees, billing schedule, and accepted payment methods are set out in your proposal. Unless otherwise agreed, invoices are payable within the period stated on the invoice. Recurring services (such as monthly SEO/GEO retainers) are billed in advance and continue until cancelled in line with the engagement terms. Philippine taxes apply where required by law.
5. Intellectual property
Upon full payment, the client owns the final deliverables produced specifically for them, including the website code and content we create for the project. Plainvert retains ownership of any pre-existing tools, frameworks, components, and know-how used to produce the work, and grants the client a license to use them as part of the deliverables. Third-party assets (fonts, stock media, plugins) remain subject to their own licenses. We may reference the completed work in our portfolio unless agreed otherwise in writing.
6. SEO & GEO disclaimer
Search engines and AI answer engines are controlled by third parties and use algorithms that change frequently and are outside our control. While we apply current best practices, we do not guarantee specific rankings, traffic levels, lead volumes, or citation in AI answers. Our commitment is to sound, ethical optimization work, not to a guaranteed outcome.
7. Revisions and scope
Each engagement includes the rounds of revision stated in its proposal. Work requested beyond the agreed scope may be quoted and billed separately.
8. Confidentiality
Each party agrees to keep confidential any non-public business information shared during an engagement and to use it only for the purpose of delivering or receiving the services.
9. Warranties and disclaimer
We provide our services with reasonable skill and care. Except as expressly stated, the website and services are provided “as is” without warranties of any kind, to the fullest extent permitted by Philippine law. We are not responsible for issues arising from third-party platforms, hosting, or services outside our reasonable control.
10. Limitation of liability
To the fullest extent permitted by law, Plainvert’s total liability arising out of any engagement shall not exceed the fees paid by the client for that engagement. We are not liable for indirect, incidental, or consequential losses, including lost profits or data.
11. Termination
Either party may end an engagement in writing under the conditions set out in the relevant proposal. The client remains responsible for fees for work performed up to the effective date of termination.
12. Governing law
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the Philippines.
13. Changes to these Terms
We may update these Terms from time to time. The “last updated” date above reflects the latest version. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
